Subscription Model Terms

Subscription Services

Our subscription model includes ongoing website maintenance, security updates, performance monitoring, content updates, technical support, and client portal access. Subscription services begin after initial website development is completed and launched.

Billing Cycles

Subscriptions are billed monthly in advance. Your first subscription payment is due upon website launch. Subsequent payments are automatically charged on the same date each month unless you cancel with proper notice.

Cancellation Policy

You may cancel your subscription at any time with 30 days written notice. Upon cancellation, you retain full ownership of your website and all associated files. We will provide necessary documentation for transition to another provider if requested.

Service Modifications

We may modify subscription services with 30 days notice. Price changes require 60 days notice. You may cancel without penalty if you disagree with service or price modifications.

Some projects may include third-party libraries, frameworks, or services. These remain subject to their respective licenses and terms of service.

We may showcase completed projects in our portfolio and marketing materials unless specifically requested otherwise in writing.

1. Acceptance of Terms

By engaging Web54 for web development services, submitting our contact form, or using our website, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all services provided by Web54, including but not limited to website development, design services, hosting, maintenance, and ongoing support through our subscription model.

2. Services Description

Web Development: Custom website development using modern frameworks including Next.js, Vite, React, and TypeScript. All development follows current web standards and best practices for performance, security, and accessibility.

Design Services: Custom UI/UX design, brand integration, responsive design implementation, and user experience optimization tailored to your business goals.

Hosting & Infrastructure: Secure, high-performance hosting with SSL certificates, daily backups, security monitoring, and performance optimization.

Ongoing Support: Maintenance, updates, technical support, and communication through our dedicated client portal system.

3. Payment Terms & Billing

Initial Development: Payment terms for initial website development are specified in your project proposal and may include milestone-based payments or alternative arrangements based on project scope.

Subscription Billing: Monthly subscription fees are billed in advance and are due on the same date each month. Payment is processed automatically using the payment method on file.

Late Payments: Late payments may result in service suspension after 15 days past due. A $25 late fee may be applied to overdue accounts. Services resume immediately upon payment of outstanding balance.

Refunds: Initial development payments are non-refundable once work has begun. Subscription fees are non-refundable but you may cancel future billing with proper notice.

4. Client Responsibilities

Content & Materials: You are responsible for providing accurate, legal, and appropriate content for your website. This includes text, images, videos, and any other materials you want included.

Feedback & Approval: Timely review and feedback on designs, functionality, and project milestones helps ensure successful project completion within agreed timelines.

Access & Credentials: Provide necessary access to existing systems, accounts, or services required for project completion, including domain management, hosting accounts, and third-party integrations.

Legal Compliance: Ensure your website content and business practices comply with applicable laws, regulations, and industry standards.

5. Limitations of Liability

Service Limitations

While we strive for perfection, web development involves inherent risks including browser compatibility issues, third-party service dependencies, and evolving web standards. We cannot guarantee compatibility with all devices, browsers, or future technology changes.

Liability Limits

Our total liability for any claims related to our services is limited to the amount paid by the client in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

Force Majeure

We are not responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, internet outages, third-party service failures, or government actions.

Client Responsibilities

Clients are responsible for their website content, compliance with applicable laws, and proper use of their website and associated services.

6. Termination

Client Termination: You may terminate services at any time with 30 days written notice. Upon termination, you retain ownership of all completed work and receive all necessary files and documentation.

Web54 Termination: We may terminate services with 30 days notice for non-payment, violation of terms, or if continuing the relationship is not feasible. In such cases, you receive all completed work and files.

Immediate Termination: Either party may terminate immediately for material breach of contract, illegal activity, or circumstances that make continuation impossible.

7. Dispute Resolution

Good Faith Resolution: We believe most disputes can be resolved through open communication and good faith negotiation. We encourage direct discussion of any concerns or issues.

Mediation: If direct negotiation fails, disputes will be resolved through mediation with a mutually agreed-upon mediator in the Pacific Northwest region.

Governing Law: These terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles.

8. Changes to Terms

Notification: We may update these terms to reflect changes in our services, legal requirements, or business practices. Significant changes will be communicated via email and prominent website notice.

Advance Notice: Material changes to terms will include 30 days advance notice. Continued use of our services after changes take effect constitutes acceptance of the updated terms.

Right to Terminate: If you disagree with updated terms, you may terminate services without penalty within the notice period.
